Terms of Service

By creating an account or using the Clinix platform, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not use the platform.

1. About Clinix

Clinix is a SaaS platform designed for private healthcare clinics. It provides tools for patient management, follow-up tracking, appointment logging, and clinic operations. Clinix is not a medical device, a clinical decision support system, or a substitute for professional medical judgement.

These Terms constitute a legally binding agreement between you (the clinic or individual user) and Clinix ("we", "us", "our").

2. Eligibility

To use Clinix, you must be at least 18 years of age; be a registered business, clinic, or healthcare professional (or an authorised employee of one); have the legal authority to enter into this agreement on behalf of your organisation; and comply with all applicable laws in your jurisdiction.

3. Account Registration

When you create a Clinix account you agree to provide accurate, complete, and up-to-date information; keep your login credentials secure and confidential; notify us immediately if you suspect unauthorised access; and take responsibility for all activity that occurs under your account. Each clinic account is for use by that clinic's authorised staff only.

4. Subscription and Payment

Pricing

Clinix is offered on a monthly subscription basis. Current pricing is displayed on our website. Prices are quoted in USD unless otherwise stated.

Billing

  • Subscriptions are billed monthly in advance
  • Payment is due at the start of each billing period
  • We use third-party payment processors — we do not store your payment card details
  • Invoices are sent to the email address associated with your account

Failed payments

If a payment fails, we will notify you and attempt to process it again. If payment remains outstanding after 7 days, we may suspend access to your account.

Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel mid-month, you retain access until the end of the billing period. We do not provide pro-rata refunds for unused days.

5. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at helloclinixtech@gmail.com. Cancellation takes effect at the end of the current billing period. Upon cancellation, you may export your data before access ends.

6. Acceptable Use

You agree to use Clinix only for lawful purposes. You must not: use the platform in violation of applicable law; upload data you do not have the legal right to process; attempt to gain unauthorised access to any part of the platform or another clinic's data; reverse engineer or copy the platform; use the platform to store or transmit malicious code; resell or sublicense access without our prior written consent; or use automated tools to scrape data from the platform.

7. Patient Data and Healthcare Compliance

Important: Clinix is a data management tool. It is not a clinical system and does not provide medical advice. You are solely responsible for ensuring your use of Clinix complies with applicable healthcare regulations in your country.

Your responsibilities

  • You are the data controller for any patient data you enter into Clinix
  • You are responsible for obtaining appropriate patient consent to store and process their data
  • You are responsible for complying with healthcare data regulations in your jurisdiction (including UK GDPR, and any applicable local laws)
  • You must ensure that only authorised staff access patient records through your account

Our role

Clinix acts as a data processor on your behalf for patient data. We process that data only as directed by you and as described in our Privacy Policy. We implement appropriate technical and organisational security measures to protect the data you store with us.

8. Intellectual Property

All intellectual property rights in the Clinix platform — including software, design, trademarks, and content — belong to us. These Terms do not grant you any ownership rights in the platform. You retain ownership of all data you upload or enter into Clinix.

9. Availability and Uptime

We aim to keep Clinix available 24/7 but cannot guarantee uninterrupted access. We may occasionally take the platform offline for maintenance or updates. We will provide advance notice of planned maintenance where possible.

10. Limitation of Liability

To the fullest extent permitted by applicable law: Clinix is provided "as is" without warranties of any kind; we are not liable for any indirect, incidental, or consequential damages; and our total liability in any 12-month period shall not exceed the total subscription fees you paid to us in that period. Nothing in these Terms limits our liability for fraud or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold Clinix harmless from any claims, losses, or expenses arising from your use of the platform in violation of these Terms; your failure to comply with healthcare data regulations; any data you upload or process; or any claim by a third party relating to how you have used their data.

12. Termination

We reserve the right to suspend or terminate your account if you breach these Terms; we reasonably suspect fraudulent or illegal activity; payment remains outstanding after reasonable notice; or we are required to do so by law. Where possible, we will give you notice and an opportunity to export your data.

13. Changes to the Service

We may update, modify, or discontinue features of the platform at any time with reasonable notice. If we make changes to pricing, we will give at least 30 days' notice before the new pricing takes effect.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by updating the "Last updated" date above. Continued use of the platform after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local laws require otherwise.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clinix regarding your use of the platform.
